AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement between you (“you” or “user”) and Salzer Electronics Limited (“we,” “us,” or “our”), concerning your access to and use of the Salzer NexCharge mobile application and associated EV charging services. By accessing the Application, you confirm that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right to make changes to these Terms at any time. We will alert you by updating the “Last updated” date. Your continued use of the Application after any revision constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

The Application is intended for users who own or operate an electric vehicle and is designed for initiating and managing EV charging sessions. Users who are minors (generally under 18) must have the permission of a parent or guardian to use the Application.

INTELLECTUAL PROPERTY RIGHTS

The Application and all its content — including source code, software, designs, text, graphics, and logos — are the proprietary property of Salzer Electronics Limited and are protected under Indian and international intellectual property laws. All trademarks, service marks, and logos are owned or licensed by us.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable licence to access and use the Application solely for your personal, non-commercial use. No part of the Application may be copied, reproduced, distributed, sold, or exploited for any commercial purpose without our express prior written permission.

USER REPRESENTATIONS

By using the Application, you represent and warrant that:

  • All registration information you submit is true, accurate, current, and complete.
  • You will maintain the accuracy of your information and update it as necessary.
  • You have the legal capacity to agree to these Terms.
  • You are not a minor, or if a minor, you have obtained parental permission.
  • You will not access the Application through automated or non-human means.
  • You will not use the Application for any illegal or unauthorised purpose.
  • Your use of the Application will not violate any applicable law or regulation.

If any information you provide is untrue or incomplete, we reserve the right to suspend or terminate your account and refuse future access to the Application.

USER REGISTRATION

To access charging services, you must register an account using your mobile number and/or email address. You agree to keep your credentials confidential and are solely responsible for all activity under your account. We reserve the right to remove or reclaim any account username deemed inappropriate or in violation of these Terms.

One account per user. Account sharing is not permitted. You must not create accounts using automated means or under false pretences.

PROHIBITED ACTIVITIES

You agree not to:

  • Use the Application for any purpose other than personal EV charging management.
  • Attempt to gain unauthorised access to any part of the Application or its infrastructure.
  • Circumvent, disable, or interfere with security features of the Application.
  • Impersonate another user, person, or entity.
  • Share your account credentials or RFID card with another person.
  • Tamper with or misuse charging equipment at any station.
  • Upload viruses, malicious code, or disruptive content.
  • Reverse engineer, decompile, or disassemble any part of the Application.
  • Use data mining, robots, scrapers, or automated tools to extract data.
  • Use the Application to compete with us or for commercial revenue-generating purposes.
  • Engage in abusive, threatening, or harassing behaviour towards our staff or other users.
  • Submit false reports of abuse, fraud, or malfunction.
  • Violate any applicable law or regulation.

Violation of any of the above may result in immediate suspension or termination of your account, at our sole discretion, and may be referred to law enforcement where applicable.

MOBILE APPLICATION LICENCE

We grant you a revocable, non-exclusive, non-transferable, limited licence to install and use the Salzer NexCharge mobile application on devices you own or control, solely in accordance with these Terms.

You shall not:

  • Decompile, reverse engineer, or attempt to derive the source code of the Application.
  • Make modifications, adaptations, or derivative works from the Application.
  • Remove or obscure any copyright or proprietary notice.
  • Use the Application for any revenue-generating or commercial purpose not intended by us.
  • Make the Application available over a network for simultaneous use by multiple devices.
  • Use the Application to create a competing product or service.

App Store / Google Play:When you install the Application from the Apple App Store or Google Play, the licence is limited to use on the respective platform's devices per that distributor's terms of service. We are responsible for maintenance and support of the Application. App Distributors have no warranty obligations with respect to the Application.

EV CHARGING SERVICE TERMS

Service Availability

Salzer NexCharge endeavours to provide reliable and uninterrupted charging services. However, we cannot guarantee continuous availability due to factors including power supply disruptions, communication failures, scheduled maintenance, or force majeure events.

Charging Sessions

A charging session begins when you initiate it through the Application or via your RFID card/VUID, and ends when you manually stop it, the session timer expires, or your wallet balance is exhausted. It is your responsibility to ensure charging begins and completes correctly. Sessions are billed based on energy consumed (kWh) or time, per the applicable tariff at each station.

Wallet & Payments

Wallet top-ups are processed via Razorpay. Sufficient wallet balance is required to initiate a session. Sessions may be stopped automatically if your balance falls below the minimum threshold. Wallet balance is non-transferable between accounts. Refer to our Refund Policy for eligibility.

RFID Cards & VUID

RFID cards and VUIDs are issued for the personal use of the registered account holder only. They must not be shared, lent, or transferred. New cards require OTP-based activation for security. Lost or stolen cards must be reported immediately through the Application or by contacting support — you remain responsible for any charges until the card is blocked.

Auto-Charge

Auto-charge via VUID is available for verified users with sufficient wallet balance. By enabling auto-charge, you authorise the Application to automatically initiate a charging session when your vehicle is plugged in at a compatible station. Sufficient wallet balance must be maintained to use this feature.

Limitation of Liability

Salzer Electronics Limited shall not be liable for any damages, losses, or expenses arising from service interruptions, including inconvenience, loss of data, vehicle breakdown, or component malfunction. Our maximum aggregate liability shall not exceed the total amount paid by you in the preceding 3 months.

Disclaimer of Warranty

The Application and charging services are provided “as is” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to indemnify and hold Salzer Electronics Limited harmless from any claims, damages, losses, or expenses arising from service interruptions, EV errors during or after using the service, user error, or force majeure events.

APP MANAGEMENT

We reserve the right to:

  • Monitor the Application for violations of these Terms.
  • Take appropriate legal action against anyone who violates applicable law or these Terms.
  • Restrict, suspend, or terminate access to the Application for any user at any time.
  • Modify, update, or discontinue any part of the Application without notice.
  • Remove content or disable features that are burdensome to our systems or in breach of these Terms.

TERM AND TERMINATION

These Terms remain in effect while you use the Application. We reserve the right to deny access, suspend, or terminate your account at any time and for any reason, including breach of these Terms, without notice or liability.

If your account is terminated, you are prohibited from re-registering under any name without our written consent. We reserve the right to pursue civil, criminal, or injunctive relief as appropriate.

MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove features of the Application at any time without notice. We are not obligated to update information or maintain any particular feature. We are not liable for any loss or inconvenience arising from downtime, service interruptions, or discontinuation of the Application.

We may need to perform maintenance that results in interruptions, delays, or errors. We will endeavour to provide advance notice of scheduled maintenance where possible.

USER DATA

We maintain data you transmit to the Application for the purpose of providing our services. While we perform regular backups, you are responsible for any data you transmit or actions you take using the Application. We shall have no liability for any loss or corruption of data, and you waive any right of action against us arising from such loss.

THIRD-PARTY SERVICES

The Application integrates with third-party services including Razorpay (payments), Firebase (notifications), and Airtel Business (SMS). Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the actions or data practices of these third parties.

GOVERNING LAW

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Tamil Nadu, India. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
